1.0 Objective
Clowise recognizes the need to establish a Code of Conduct policy for its employees and associates in order to define the way business relationships, official dealings, social behavior and comradery needs to be maintained within and outside of office premises.
This Code helps maintain high standards of business conduct for Clowise to promote ethical conduct. Its important the employees follow the Code of Conduct as it defines our values, principles and our standard for professional conduct. It is our responsibility to maintain and follow on principes for the collective benefit of our employees, customers, suppliers and shareholders.
2.0 Scope and Applicability
This policy covers all category of engagement as listed below employees (collectively defined as “Employe” or “Employees” ) across levels and hierarchy in the organization

3.0 Policy/Process
Loyalty to Company
The employees will perform the designated work and will devote their full time and best efforts to the business of the Company and dedicate sufficient time, energy and attention to uplift and better the Company’s performance.
National Interest
Clowise shall be committed in all its actions to benefit the economic development and shall not engage in any activity that would adversely affect such objective. It shall not undertake any project or activity to the detriment of the Nation's interests or those that will have any adverse impact on the social and cultural life patterns of its citizens. Clowise shall conduct its business affairs in accordance with the
Economic development and foreign policies, objectives and priorities of the National or Local government in the countries we operate in and shall strive to make a positive contribution to the achievement of such goals at the international, national and regional level as appropriate.
Government Agencies
Clowise and its employees shall not offer or give any company funds or property as donation to any government agencies or their representatives, directly or through intermediaries, in order to obtain any favorable performance of official duties.
Health, Safety and Environment
Clowise shall strive to provide a safe and healthy working environment and comply, in the conduct of its business affairs, with all regulations regarding the preservation of the environment of the territory it operates in.
Quality of Products and Services
Clowise shall be committed to deliver product and services of the highest quality standards backed by efficient customer relationship management consistent with the requirements of the customers to ensure their total satisfaction.
Corporate Citizenship
Clowise shall be committed to be a good corporate citizen not only in compliance with all relevant laws and regulations but also by actively assisting in the improvement of the quality of life of the people in the communities in which it operates.
Shareholders
Clowise shall be committed to enhance shareholder value and comply with all regulations and laws that govern shareholders' rights. The Board of Directors and/or Designated Partners of Clowise shall duly and fairly inform its shareholders about all relevant aspects of the Company's business and disclose such information in accordance with the respective regulations and agreements.
Ethical Conduct
Every employee of Clowise, which shall include head of the company, shall deal on behalf of the Company with professionalism, honesty, integrity as well as high moral and ethical standards. Such conduct shall be fair and transparent and be perceived to be as such by third parties.
Every employee shall be responsible for the implementation of and compliance with the Code in his professional environment. Failure to adhere to the Code of conduct could attract the most severe consequences including termination of employment and legal proceedings in extreme cases as appropriate.
Regulatory Compliance
Every employee of Clowise, shall in his business conduct, comply with all applicable laws and regulations, both in letter and in spirit, in all the territories in which it operates. If the ethical and professional standards set out in the applicable laws and regulations are below that of the Code, then the standards of the Code shall prevail.
Securities Transactions Confidential Information
An employee of Clowise and his immediate family shall not derive any benefit or assist others to derive any benefit from the access to and possession of information about the Company, which is not in the public domain and thus constitutes insider information.
An employee of Clowise shall not use or proliferate information which is not available to the public and which therefore constitutes insider information for making or giving advice on investment decisions in Clowise on which such insider information has been obtained.
  • Such insider information might include the following
    • Acquisition and divestiture of businesses or business units.
    • Financial information such as profits, earnings and dividends.
    • Announcement of new product introductions or developments.
    • Asset evaluations.
    • Investment decisions/plan
    • Restructuring plans
    • Major supply and delivery agreement
    • Raising finances.
Protecting Company Assets
The assets of Clowise should not be misused but employed for the purpose of conducting the business for which they are duly authorized. These include tangible assets such as systems, facilities, materials, and resources as well as intangible assets such as proprietary information, relationships with customers and suppliers, etc.
Employees shall not exploit for their own personal gain, opportunities that are discovered through the use of Company’s property, information or position.
Employees must disclose all material, financial and commercial transactions where they have any personal interest that may result in a potential conflict with the interest of the Company.
Internet use of Code of Conduct
The Company has adopted internet use of code of conduct, which permits use of internet only for performing job responsibilities for legitimate business purposes. Employees are prohibited to use internet access for inappropriate purposes such as:
    • Transmitting material which is considered as indecent/offensive.
    • Accessing prohibited websites.
    • Sending proprietary/ confidential information without proper authorization.
    • Downloading games/other entertainment software.
Integrity of Data Furnished
Every employee of Clowise shall ensure at all times, the integrity of data or information furnished by him to the Company.
Inclusion
Clowise is committed to practices that result in inclusion of all employees and that advance equal employment for qualified and deserving individuals. The Company encourages the spirit of trust, teamwork and mutuality in employees and expects them to work in collaboration with objectivity, self respect and human dignity.
Confidentiality
Confidential Information is any trade secret or other information which is confidential or commercially sensitive and which is not in the public domain (other than through the wrongful disclosure by the Employee) and which belongs to Clowise or its Customers or Suppliers or Partners (whether aware as knowledge or hearsay or stored or recorded in documentary or electronic form) and which (without limitation) relates to the business methods, management systems, marketing plans, strategic plans, finances, new or maturing business opportunities, Intellectual Property, Ideas, marketing activities, processes, inventions, designs or similar or to which any owes a duty of confidentiality. All our information, as well as all customer and employee data you might access as a result of your professional activity are considered confidential.
The need to respect confidentiality cannot be emphasized enough. Always handle Confidential Information to which you may have access (whether it belongs to Clowise, its clients or competitors or any other firm) with utmost diligence, establishing all appropriate mechanisms to avoid its disclosure to third parties, and use it only for professional purposes, never for personal purposes. This professional secret shall be kept even after your relationship with Clowise has come to an end.
Protect the confidentiality of the information to which you have access, never sharing confidential information with third parties, and treating all information with great responsibility, control and protection, without using it for personal gain or for that of third parties. The Employee further acknowledges and agrees that the right to maintain the confidentiality of trade secrets, source code, website information, business plans or client information or other confidential or proprietary information, for the purpose of enabling the other party such information constitutes a proprietary right which Clowise is entitled to protect.

    • Business plans, annual operating plans
    • Software developed/under development
    • Performance against target
    • Costing, pricing, profitability financial budget and related issues
    • Fees/Stipend, evaluations, recommendations etc. related to Consultant / Contract Consultant / Advisor / Trainees
    • Salary and compensation offered to employee
    • Sales commission, third party commission and about reference agents
    • Details of past/present/proposed contracts and proposals
    • Technical information about software, computer systems
    • Information about suppliers and/or customers
    • Communication facilities/equipment
    • Proposed ventures & corporate plans
    • Technological marketing and financial strategies of the Company and/or its customers
    • Core competencies & activities of the Company and/or its customers
    • Any other such information, which is likely to be crucial for the business operations
Social Media Policy
Employees should follow the guidelines and restrictions on circulation of Clowise related information on social networking sites. Social media includes items such as blogs, podcasts, discussion forums, and social networks such as Facebook, Linkedin, Twitter, SlideShare, YouTube etc.
    • Employees are not permitted to publish or possess competitors’ proprietary or confidential information.
    • Employees should not engage in any unethical or unfair trade practices.
    • The employees are not permitted to publish or possess competitors’ proprietary or confidential information.
    • The employees should not discuss about planned service offering, product upgrades or future product releases. Any exceptions must be approved by senior management.
    • Not to post anything which can causes damage to another person or entity on third party websites and blogs.
    • Employees shall not post anonymously
Harassment at Workplace
The Company has policy to prohibit any conduct which constitutes harassment (whether work, sexual, racial, or for any other reasons) and offenses at workplace (workplace is referred to as Clowise office and client location). This includes policy on “The Prevention of Sexual Harassment” And “The Protection of Children from Sexual Offences”. Clowise, in any form, will not tolerate any actions by or towards employees or non-employees with whom Clowise has business, service or professional relationship, such as suppliers, service providers, visitors, customers, clients etc. Violation of this policy may result in disciplinary action which includes immediate termination of employment.
4.0 Non-compliance and Consequence

    • Gross misconduct or behavior which may result in disrepute to the employer;
    • Misuse of office premises
    • Misuse of assets made available for work
    • Not disclosing to the management romantic relationship with a fellow staff member
    • Willful insubordination or disobedience, whether alone or in conjunction with another or others, or of any lawful or reasonable order of a superior. The order of the superior should normally be in writing
    • Abetment of or attempt at abetment of any of the above acts of misconduct.
    • Threatening, abusing or assaulting any employee or co-worker
    • Drunkenness, fighting or riotous, disorderly or indecent behaviors while on project or at the place of work.
    • Causing willful damage to work in progress or to property of the company, customer or suppliers.
    • Conviction in any Court of Law
    • Betting, Gambling and Money lending business inside office premises
    • Preaching of or inciting to violence.
    • Any action that may cause a direct or indirect loss of reputation or monetary loss.
    • Involvement with any anti-social element or activities.
    • Use of abusive substance like drugs
    • Possession of any type of arms.
    • Any sexual harassment or misconduct with any employee, customer or supplier.
    • Not make any statement or any other commitment without proper authority or with full knowledge that it is false.
5.0 Reporting Concerns
Every employee of Clowise shall promptly report to the management any actual or possible violation of the Code or an event he becomes aware of that could affect the business or reputation of Clowise
